Steps to register a company in Bulgaria

This procedure is for customers that COME to Ruse.


Here are the steps to forma a company in Bulgaria.


Step 1

Send us your info, by email

For 1 associate
- ID
- 3 company names, in preferred order (it is better to be short names so they fit the company stamp)
- Description of the activity you want to have in the company (your business)


For 2 or more associates
- Each associate's ID
- Percentage distribution of company ownership - (who much % owns each associate)
- Specify who shall be the manager
- 3 company names, in preferred order (it is better to be short names so they fit the company stamp)
- Description of the activity you want to have in the company (your business)


We prepare the company formation documents



Step 2

You travel to Ruse
Company formation taxes are paid, company formation capital is deposited in the bank
Signature specimen is given at the notary
Company formation documents are submitted at House of Companies (Registry of commerce)

It takes about 2 hours

There is no standard term for approving the company registration
It depends on how busy is The House of Companies
But, from our experience, it takes about a week or less



Step 3

You travel to Ruse
Company good standing certificate is obtained from House of Companies
Stamps are made
Formation capital account is closed
Registered address contract is made
Current bank accounts + internet banking + bank cards are made
Contract with accounting company is made

It takes about 2 hours

the company is functional
Business can start now

If VAT registration is required
we will submit a request for it

VAT registration approval
- official time: up to 2 weeks
- real time: 1 week



Step 4

If internet banking and bank cards were requested,
related information are to be taken form the bank in about 3-10 days.



Types of companies

The Bulgarian Law distinguishes between EOOD (sole-owner company) and OOD (more-than-one-owner company).
Besides the suffix, thee is no difference, whatsoever, between the two types of companies.



VAT

At the registration moment, no company is registered for VAT purposes.
VAT registration is done after registering the company (immediately or as needed).



Duration

Invoices can be issued in about 2 weeks after submitting the company registration documents.
